			<content:encoded><![CDATA[<p><strong>TLDH</strong> (AIM: TLDH) today announces its unaudited results for the six month period ended 30 April 2010 (the &#8220;Period&#8221;). <p>The following sets out the audited results for the Company for the period ended 30 April 2010.</p>
<p><strong>CHAIRMAN&#8217;S STATEMENT</strong></p>
<p>The Company&#8217;s strategy is to build a portfolio of top level domains (&#8220;gTLDs&#8221;)applicants and infrastructure technologies.</p>
<p>The six month period ended 30 April 2010 was one of further progress by the Internet Corporation for Assigned Names and Numbers (&#8220;ICANN&#8221;) towards the eventual roll out of gTLDs.</p>
<p>At its March meeting in Nairobi, the ICANN Board resolved that there should be no cross-ownership between domain name registries and registrars. This prohibition prevents existing ICANN-accredited registrars from owning or operating new gTLDs, thus limiting the number of prospective applicants.  TLDH was unaffected by this policy and the Board of TLDH therefore expects that TLDH will benefit from this continuing separation between registrars and registries. The ICANN Board also resolved to focus on the full introduction of gTLDs later this year. <span id="more-218"></span></p>
<p>At its subsequent June meeting in Brussels following the Period end, the ICANN Board resolved to hold a special meeting in September 2010 to address all the outstanding issues related to the implementation of the new gTLD programme. The final Applicant Guidebook is expected to be published in November 2010, which will set the final rules for applicants. The applications start date is then expected to be announced at the December 2010 ICANN meeting in Cartagena, Colombia.</p>
<p>We have taken a conservative view toward the timing of what we believe to be a revolutionary stage of the development of the Internet. The TLDH Board is preparing for the likelihood of an early December announcement of the date of the gTLD application window.</p>
<p>Revenue for the Period was £32,000 with finance revenue totalling £3,000. Administrative expenses totalled £480,000. Share options expensed totalled £17,000. Retained loss for the period attributable to members of the parent Company totalled £465,000 for a loss of 0.16 pence per Ordinary share. The Company still has significant cash resources. Cash and cash equivalents at the Period end amounted to approximately £3.9 million</p>
<p>We remain excited about the prospects for the development of the Company that the introduction of gTLDs will create. With our substantial cash resources, low operating costs and our significant interests in prospective applicants for .eco, .nyc, .berlin, .bayern and .gay amongst others, together with the capabilities of our wholly-owned subsidiary Minds and Machines LLC, and also with the restriction on competition that has been placed on existing registrars, we believe that TLDH is well positioned ahead of the start of the gTLDs application and award process.</p>

			<content:encoded><![CDATA[<p>The Board of TLDH announces that the Internet Corporation for Assigned Names and Numbers (&#8220;ICANN&#8221;) has now released the fourth version of the Draft Applicant Guidebook for generic top-level domains (&#8220;gTLDs&#8221;).  This is in line with the decision reached by ICANN&#8217;s Board of Directors at its Nairobi meeting in March where it resolved to focus on the full introduction of gTLDs later this year rather than implement an intermediate step by adoption of the expressions of interest/pre-registrations proposal.</p>
<p>As reported by ICANN staff during the Nairobi meeting, the draft guidebook is expected to be the last draft before the final guidebook which is expected to be published in October / November 2010, according to ICANN&#8217;s project plan. The new draft guidebook includes an expanded role for public comments on gTLD applications, as well as incorporating various measures to protect intellectual property as proposed by ICANN participants. <span id="more-213"></span></p>
<p>The new draft guidebook keeps in place the strict separations of cross-ownership and control between registries and registrars, placing significant barriers in front of registrars who wish to start new top-level domains. If this restriction remains in the final guidebook, the Board of TLDH believes that a number of potential competitors will find it difficult or impossible to enter the market. TLDH is unaffected by this policy and the Board of TLDH therefore expects that TLDH will benefit from this continuing separation between registrars and registries</p>
<p>ICANN has also released other supporting documents in relation to the proposed gTLD application process, including a budget for the new generic top-level domain review process. The budget document is based on ICANN&#8217;s assumptions that there will be 500 gTLD applications, of which 5 per cent. are assumed to fail the initial evaluation and a further 5 per cent. are assumed to request voluntary partial refunds. Accordingly, ICANN&#8217;s budget assumes that 90 per cent. of all applications will proceed to either successful delegation, or in the case of conflicting applications, to an auction or other tie-breaking resolution.</p>
<p>The other few and mostly small changes in the new draft guidebook suggest that there is near-consensus among ICANN and industry participants and governments and that the application guidebook is near completion.</p>
<p>TLDH remains well-positioned to move forward with its plans for new top-level domains. The next meeting of ICANN will be held in Brussels from June 20 &#8211; 25. TLDH and its operating subsidiary, Minds + Machines LLC, will be participating in the ICANN meeting and will provide a further update following that meeting.</p>

			<content:encoded><![CDATA[<p>On 7 August 2009 the Board of Top Level Domain Holdings Limited (AIM: TLDH) announced that it had acquired the outstanding issued and to be issued share capital of Minds and Machines LLC (&#8220;Minds and Machines&#8221;) not already owned by the Company (the &#8220;Acquisition&#8221;).</p>
<p>Under the terms of the Acquisition agreement, the Company has today issued 7,545,000 new Ordinary Shares (the &#8220;Second Consideration Shares&#8221;) to the vendors of Minds and Machines. In addition, the Company has today issued and allotted 1,200,000 new Ordinary Shares (&#8220;New Ordinary Shares&#8221;) on exercise of options and warrants at an exercise price of 4p per Ordinary Share for an aggregate payment of £48,000.</p>
<p>Following the issue of the Second Consideration Shares and the New Ordinary Shares, the enlarged issued share capital of the Company is 291,684,275 TLDH ordinary shares (&#8220;Enlarged Issued Share Capital&#8221;).  The Second Consideration Shares and the New Ordinary Shares rank pari passu with the existing Ordinary Shares in issue. <span id="more-211"></span></p>
<p>Application will be made for the Second Consideration Shares and the New Ordinary Shares to be admitted to trading on AIM, which is expected to occur on 29 April 2010.</p>

<p>The ICANN Board also resolved that ICANN should focus on the full introduction of gTLDs later this year rather than implement an intermediate step by adoption of the Expressions of Interest/Pre-Registrations Proposal.  The ground rules for application for new gTLDs are expected to be published by early summer 2010. Accordingly, as ICANN approaches the point where it will be able to proceed with full applications, the Expressions of Interest (&#8220;EoI&#8221;) program becomes unnecessary. ICANN staff reported during the Nairobi meeting that the next draft of the Draft Applicant Guidebook, expected to be issued in June, will be near final, and subject only to a final comment period.</p>
<p>While we were supportive of the EoI proposal, we welcome ICANN&#8217;s focus that the main objective should be to speed up the gTLD process, and the intermediate step of EoIs is unnecessary if ICANN is close to resolving the final details prior to the launch of new gTLDs.</p>
<p>With our substantial cash resources, low operating costs and our significant interests in prospective applicants for .eco, .nyc, .berlin, .bayern and .gay amongst others, and also with the restriction on competition that has been placed on existing registrars, we believe that TLDH is well positioned ahead of the start of the gTLDs application and award process.</p>

			<content:encoded><![CDATA[<p><span>Top Level Domain Holdings Ltd (AIM: TLDH) is pleased to </span><span>note</span><span> that ICANN, the internet&#8217;s independent governing body, </span><span>has resolved to progress</span><span> the development of the proposed Expressions of Interest (&#8220;EOI&#8221;) process model and has requested that it be submitted for approval at ICANN&#8217;s next Board meeting on 10 February 2010. The preliminary minutes of ICANN&#8217;s last Board meeting, released on 9 December</span><span> 2009</span><span>, state that following the public comment phase, </span><span>&#8220;</span><span>ICANN staff shall present a proposed EOI process model for approval at the ICANN Board&#8217;s February 2010 meeting&#8221;</span><span>.</span></p>

<p><span>The Directors of Top Level Domain Holdings believe this represents a significant step forward and underlines ICANN&#8217;s commitment to expanding the number of top level domains on the internet. <span id="more-204"></span><br />

<p><span>As announced by Top Level Domain Holdings on 6 November 2009, the EOI process will allow ICANN to establish the number of proposed new </span><span>gen</span><span>e</span><span>ric top level domains (&#8220;g</span><span>TLDs</span><span>&#8220;)</span><span> being applied for, and to size and resolve the relevant technical</span><span> issues</span><span> arising from the creation of new </span><span>g</span><span>TLDs ahead of the formal application process beginning. The EOI process will also allow ICANN to see which applications might be in contention, and to enable ICANN, should it so wish, to categorize and sequence applications for any future roll-out.</span></p>
<p><span>It is anticipated that prior to ICANN&#8217;s February meeting, the ICANN staff&#8217;s recommendations on the proposed EOI process will be made public</span><span> on the internet</span><span>.</span></p>
