The Company was notified today that Mrs Elliott, the wife of Mr Guy Elliott, the Company’s Deputy Chairman and Non-Executive Director, on 27 August 2009 purchased 131,600 TLDH shares at a price of 10.5p per ordinary share. As a result Mrs Elliott now owns 186,350 ordinary shares representing 0.07 per cent. of the Company’s issued share capital.

Holdings in Company

TLDH was informed on 20 August 2009 that following a recent share disposal Angstrom Capital Limited now holds the total voting rights attaching to 12,163,036 ordinary shares, representing 4.34% of the total voting rights in the Company.

In addition, Mrs Elliott, the wife of Mr Guy Elliott, the Company’s Deputy Chairman and Non-Executive Director, has confirmed to the Company today that on 19 August 2009 she purchased 54,750 TLDH shares at a price of 8p per ordinary share. As a result Mrs Elliott now owns 54,750 ordinary shares representing 0.02 per cent. of the Company’s issued share capital. (more…)

Starting next April, interested parties can apply for new generic top-level domains — that string of characters that forms part of every web address, like .com, .gov or .edu. Currently there are only 280 top-level domains; once the new policy takes effect, the number will be potentially unlimited.

TLDH Issued Share Capital

The Company announces that the first consideration shares in relation to the acquisition of Minds+Machines announced on 7 August 2009, comprising 7,545,000 new TLDH ordinary shares, have been admitted to trading on AIM. The Company has also today submitted an application for trading on AIM on 26 August 2009 of a further 368,242 TLDH Ordinary Shares which have been allotted to the vendor of web design blog, TutorialBlog.org, the acquisition of which was previously announced on 13 March 2008. Following admission of these further shares the enlarged issued share capital of the Company will be 280,508,846 TLDH ordinary shares.

Dot Eco, LLC, which intends to apply for the .ECO top level domain through the ICANN gTLD application process, is making headlines around the world. The media is paying rapt attention as ICANN determines the fate of the highly-sought-after .eco top level domain.

Acquisition of further interest in Minds+Machines LLC

On 27 May 2009 the Board of Top Level Domain Holdings Limited (AIM: TLDH) announced that the Company had conditionally subscribed for a fully diluted 35.11 per cent. interest in top level domain registry services provider Minds+Machines LLC (“Minds+Machines”) for a cash consideration of US$501,000 (the “Initial Investment”). The subscription price paid by the Company was the same as the founder members of Minds+Machines. The Board is pleased to announce that it has today acquired the outstanding issued and to be issued share capital of Minds+Machines not already owned by the Company (the “Acquisition”). (more…)
